Referral and sourcing partner terms.
How an opportunity gets registered, how long a claim holds, what gets paid and when, and what you may not do while representing an introduction to us.

These terms govern participation in the program. Tier 1 and Partner tier run on this page alone. Strategic tier, white-label arrangements and anything with custom economics run on a separate signed agreement, and where the two differ the signed agreement wins.
The two lanes
A referral is an introduction to a business you already have a relationship with. You know the owner, you have worked with them, or you sit close enough to them that your introduction carries weight. This is the program the tier rates were written for, because what you are contributing is trust that already exists.
A sourced introduction is an opportunity you found through outbound prospecting. You identified the business, made contact, qualified a need, and the owner agreed to be introduced. That is legitimate work and we will pay for it, but it is a different thing from a referral and it carries different risk, so it registers separately and runs under Section 6 as well as everything else here.
Tell us which one it is at registration. Getting this wrong is the fastest way to lose an attribution claim later, and we would rather sort it out on day one than during a payout dispute.
Registration
Attribution starts when we accept a registration, not when you send an email or have a conversation. Register through the form on the referral page before or at the moment you make the introduction.
We respond within one business day with one of three answers: accepted, declined, or already in pipeline. An accepted registration is what creates a claim. Nothing else does.
A registration needs a named person at a named business, their role, and what they are trying to solve. A company name with no contact is not a registration.
Attribution and conflicts
- An accepted registration holds for 120 days. If the opportunity is actively progressing at day 120, it extends to 180 days.
- If the business signs within the window, you are owed commission under Section 4, even if the work starts later.
- If the window lapses and the business signs afterwards, you are not owed commission. Ask for an extension before it expires rather than after.
- We decline a registration if the business is already in our CRM, already in an active conversation, or was contacted by our own outbound in the preceding 90 days. We will tell you which, though not the detail.
- Where two partners register the same business, the first accepted registration wins. The second is notified within one business day.
Kingbird runs its own outbound and works the same market you may be working. Nothing here is exclusive, in either direction. Registering early is how you protect a claim.
Commission
Commission is your tier rate applied to collected revenue in the first twelve months of the engagement. Tier 1 is 10 percent capped at $5,000. Partner tier is 15 percent, uncapped. Strategic tier is 20 percent under a separate signed agreement.
Collected revenue means money Kingbird has actually received for its own services. It excludes sales tax, and it excludes anything we bill and pass straight through: hosting, third-party licences, model and API usage, and ad spend. It is net of refunds, credits and chargebacks.
Recurring engagements pay on the first twelve months of collected revenue and then stop. There is no lifetime commission and no residual after year one.
Payment
- Paid 30 days after Kingbird collects, invoice by invoice, not on signature.
- Paid in USD. You carry your own bank and conversion costs.
- Before a first payment we need tax documentation: a W-9 if you are a US person, or the applicable W-8 form if you are not. Payments are held, not forfeited, until we have it.
- You are an independent contractor and responsible for your own taxes and any registration required where you operate.
- If a client is refunded or charges back after we have paid you, that amount is deducted from your next payment or invoiced back if there is no next payment.
- No commission is owed on an engagement that never invoices.
If a payout is going to be late, we tell you before it is late rather than after you ask.
Conduct, and what you may not do in our name
This section is the price of the sourced-introduction lane existing at all. It applies to every partner, and we enforce it.
- You are an independent party. You are not our agent, employee, representative or reseller, and you may not describe yourself as any of those.
- You may not use the Kingbird name, logo, materials or case examples in outreach without our prior written approval of the specific wording.
- You may not quote a price, promise a scope, commit a timeline, or agree terms on our behalf. Pricing conversations happen with us.
- You may not send from an address or profile that implies you work for Kingbird, and you may not use our domain.
- No purchased lists and no scraped lists. If you cannot say where a contact came from, do not register them.
- You are responsible for the lawfulness of your own outreach wherever the recipient sits. That includes US federal and state rules on commercial email, calls and texts, and EU or UK data-protection rules where they apply to you or to the people you contact.
- The contact must know an introduction is happening before you register them. Sharing a contact who has not agreed to be introduced is a breach.
- You indemnify Kingbird against claims, penalties and costs arising from your own outreach or your handling of contact data.
A breach here ends participation immediately and voids unpaid commission on any opportunity the breach touched.
Fit, and what we decline
We decline registrations that are pre-idea with no budget, that are looking for free advice rather than to hire, or that sit outside what we do. A decline is not a judgement of you and it does not affect your standing.
We also decline anything we would not be comfortable delivering. If we take a registration and later conclude we are the wrong shop, we tell the business that and the registration closes.
Confidentiality and client privacy
We do not publish client names, and we will not confirm to you that a business you referred became a client beyond what you need to verify your own commission. That restraint is why clients trust us, and it applies to partners too.
You keep confidential anything you learn about our pricing, delivery or clients through the program.
Changes and ending participation
Either side can end participation at any time with written notice. Registrations accepted before that notice keep running through their attribution window, and commission earned on them is still paid.
We may change these terms. Changes apply to registrations accepted after the new effective date, never retroactively to an accepted registration.
